Welcome to AmeriDent Lab’s website and mobile application (collectively, the “Service”). Please read these Terms of Use (“Terms”) carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

AmeriDent Lab provides online solutions for managing dental lab orders, tracking order statuses, and viewing related content. The Service may also include mobile application features, third-party integrations (e.g., for payment or analytics), and other related functionalities.  
"Key features" may include:  ● Placing and managing lab orders online.  ● Tracking orders and deliveries through third-party courier services.  ● Viewing educational or promotional materials.  ● Receiving notifications about product or service updates.

3. Accounts and Registration

1. Account Creation
To access certain features, you may be required to create an account. You agree to provide accurate, complete, and up-to-date information when creating an account.

2. Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account or breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

3. Age Restrictions
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use or access our Service. If you are under 18, you may only use the Service with the involvement of a parent or guardian.

1. Ownership
The Service, including but not limited to its content, features, design, layout, text, images, logos, and all software, is owned or licensed by AmeriDent Lab and is protected by intellectual property laws.

2. Restrictions
You may not modify, copy, reproduce, republish, upload, post, distribute, or transmit any portion of the Service without our prior written consent, except as expressly permitted by these Terms.

3. Feedback
Any feedback, suggestions, or ideas you provide to us shall be deemed non-confidential, and we shall be free to use such information on an unrestricted basis without compensating you.

6. Third-Party Services

Our Service may integrate or link to third-party services, including payment processors, shipping couriers, analytics tools (such as Google Analytics), or social media platforms. We have no control over these third-party services and assume no responsibility for their content, privacy policies, terms, or practices. Your interactions with such third-party services are solely between you and the respective third party.

7. Orders, Payments, and Billing

1. Placing Orders   By placing an order through our Service, you agree to provide accurate and current information about yourself and any related payment details. We reserve the right to refuse or cancel any order if fraud or an unauthorized or illegal transaction is suspected.
2. Payments   You agree to pay all charges incurred by you or any users of your Account using your chosen payment method. Failure to settle any outstanding balances may result in suspension or termination of your access to the Service.
3. Billing Disputes   If you have any concerns or objections regarding billing or charges, you agree to notify us promptly so we can investigate and attempt to resolve the issue.

8. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, AmeriDent Lab disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall AmeriDent Lab or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use or inability to use the Service. Our total liability to you for any damages shall not exceed the amount you have paid to us in the last six (6) months or one hundred U.S. dollars (USD $100), whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless AmeriDent Lab, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or rights of a third party, or (d) your negligence or willful misconduct.

11. Termination

We reserve the right to terminate or suspend your access to the Service at any time, with or without notice, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in or nearest to Hennepin County, Minnesota, unless otherwise required by applicable law.

13. Changes to the Terms

We may update or modify these Terms from time to time. If we make material changes, we will notify you via email (if you have provided one) or by posting a notice on the Service before the change becomes effective. By continuing to access or use the Service after any changes become effective, you agree to be bound by the updated Terms.

14. Miscellaneous

1. Entire Agreement
These Terms and any policies referenced herein constitute the entire agreement between you and AmeriDent Lab concerning the Service.

2. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

3. No Waiver
The failure to enforce any right or provision under these Terms will not be deemed a waiver of such right or provision.

4. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.
